1. Agreement to Terms

By accessing or using the services provided by Shoppers Smart LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Shoppers Smart LLC provides e-commerce optimization and consulting services, including but not limited to:

• E-commerce SOP optimization using ParkOS and OverflowX platforms
• Manufacturing sourcing and quality control services
• Warehouse partnership programs and operations consulting
• Technology platform implementation and support

3. User Obligations

You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of account credentials
• Use our services only for lawful purposes
• Not interfere with or disrupt our services
• Comply with all applicable laws and regulations

4. Intellectual Property

Unless explicitly agreed otherwise in writing:

• We retain ownership of all pre-existing intellectual property including ParkOS and OverflowX platforms
• Client-specific deliverables are transferred upon full payment
• We retain the right to use general knowledge and techniques

5. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the fees paid for the relevant services
• We are not liable for indirect, incidental, or consequential damages
• We do not guarantee specific results or outcomes
• Services are provided "as is" without warranties beyond those expressly stated

6. Termination

Either party may terminate services:

• With 30 days written notice for ongoing engagements
• Immediately for material breach after reasonable cure period
• Immediately for insolvency or bankruptcy

7. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation in Miami-Dade County, Florida
3. Binding arbitration in Miami-Dade County, Florida in accordance with the rules of the American Arbitration Association

8. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.

9. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the modified terms.
